These are the terms you buy under and the terms you use this site under. They cover ordering by email or phone, wholesale quotes and volume tiers, payment, delivery, the guarantee, the limits on what we owe you if something goes wrong, and where a dispute would be heard.

Who you are buying from

Gearhold LLC is a Wyoming limited liability company. Our operational and customer-service address is 104 S Cherry St, Tunnel Hill, GA 30755, USA. We design and sew fixed-gear pedal straps and sell related parts. This website is fixedgearstraps.com.

Formation in Wyoming and the Georgia bench address are separate facts. The company is formed in Wyoming; the workshop that takes orders and ships straps is in Tunnel Hill, Georgia. In these terms, we and us mean Gearhold LLC. You means the person or business reading this site or placing an order.

These terms cover two things: buying from us, and using this website. They apply whether you are a rider buying one pair, a shop buying a hundred, or someone who never buys anything and only reads the pages.

Some pages are part of this contract and are incorporated by reference: the guarantee at /legal/guarantee, shipping and returns at /legal/shipping-returns, and safety at /legal/safety. Read them as part of these terms, not as marketing.

2.0
Accepting these terms

In plain EnglishYou accept these terms by ordering, by accepting a quote, or by using the site, and the version that governs your order is the one published on the day you order.

You accept these terms when you place an order, when you accept a written quote from us, and when you use this website. If you do not accept them, do not order and do not use the site.

The version in force for an order is the version published on this page on the day the order is placed. The effective date sits at the top of this page. Editing this page later does not change the terms of an order already placed.

There is nothing separate to sign. If you want the wording that applied to your order, email us and we will send it to you.

You must be old enough to enter a contract where you live. We sell to adults. If you are under 18, have an adult place the order. If you are ordering for a shop, a team or a fleet, you are telling us you are allowed to commit that business to this.

Ordering

In plain EnglishThere is no checkout on this site. You order by email or phone, and the order is accepted when it ships.

This website has no cart and no checkout. The arrowed links on the product pages take you to the quote form and do nothing else. Nothing is added to anything, and no card field exists anywhere on fixedgearstraps.com.

To order, email hello@fixedgearstraps.com or call +1 (762) 760-1179, Tue–Sat 10–18 ET. Tell us what you want, how many, which colorway and where it is going. We reply with the total, including shipping, and how to pay.

Prices and products on this site are an invitation to order, not an offer. Your order is the offer. An order is accepted when it ships. An emailed total, an order confirmation and an invoice are not acceptance.

That rule exists so we can catch a bad count or a failed dye lot before you are committed. If we cannot fill an order, we will tell you fast and refund in full. No restocking fee and no forced store credit.

We can decline an order, or cut it to a quantity we can actually sew. That happens when stock will not stretch, when an order looks fraudulent, when US export or sanctions law blocks the destination, or when a buyer wants us to lie on a customs form. If we decline, you pay nothing.

You can cancel any order that has not yet shipped by email or phone, and we refund in full. Once a custom label run has been cut and sewn to your approved artwork, that part of the order can no longer be canceled — we will tell you when that point is coming.

Wholesale quotes and volume tiers

In plain EnglishWholesale starts at ten pairs, a written quote holds its price for fourteen days, and the calculator on the quote page is an estimate rather than an offer.

Minimum order quantity for wholesale is 10 pairs. Below that, retail pricing applies.

Volume tiers are worked out per order, and mixed SKUs count together. Ten pairs of GH-1 and forty pairs of Courier is a fifty-pair order, so it lands in the Squad tier.

The table shows GH-1. Tier pricing for the rest of the range is quoted in writing, on the same per-order tier structure.

A written quote holds its price for 14 days from the date we send it. After that, ask again — webbing and hardware costs move, and we would rather requote than argue.

A quote covers the products, quantities, colorways and lead time written on it. Change the specification and it is a new quote, at whatever the new numbers say.

A custom label run is built to the artwork and specification you approve in writing. Read the proof properly. Once it is approved we cut and sew to it, and a strap that matches an approved proof is not a fault. Custom runs also sit outside the fit swap and outside the EU and UK withdrawal right, which is set out at /legal/shipping-returns.

If you send us a logo, a name or artwork to put on a strap, you are telling us you own it or have permission to use it. We will not put someone else’s mark on webbing on your word alone, and if a claim over your artwork lands on us, clause 12.0 applies.

The calculator at /quote is an estimate and nothing more. It runs entirely in your browser. It transmits nothing and stores nothing. The reference number it makes, shaped GH-Q-XXXX-###, is for your own notes; we have no record of it, and closing the tab loses it.

Prices and taxes

All prices are in US dollars. Published retail prices:

Prices can change without notice. The price that applies to your order is the one we confirm to you in writing before you pay, or the price on a written quote inside its 14-day window.

US shipping is free on orders over $50 USD, and a flat $6 USD on orders of $50 USD or less. Everywhere else ships at carrier cost, quoted before you pay.

We charge sales tax where the law requires it, and it is added to the total we send you. Import duties, VAT, GST and customs handling fees on shipments outside the US are the buyer’s responsibility. The carrier or your customs office collects them, not us. We cannot tell you in advance what they will be, and we will not mark a parcel as a gift or understate its value.

Payment

No payment is taken on this website. Payment happens off-site, handled by our payment processor. Your card number goes to them, not to us — it never touches our servers.

What we see is that a payment succeeded, plus the name, address and contact details you gave us for the order. We do not see or store card numbers. What we do with the details we do hold is at /legal/privacy.

Orders are paid in full before we ship, unless a written quote says otherwise. Nothing leaves the bench on an unpaid order without that in writing.

If a payment fails, is declined or is later reversed, the order stops until it is settled. Goods already shipped remain ours until we are paid in full — see clause 7.0. If a reversal leaves us out of pocket on an order already delivered, we may ask you for the amount and any fee the processor charged us.

If a charge looks wrong, call or email before you file a chargeback. Most billing problems are a typo, a duplicate click or a name on a statement you did not recognize, and all three take about ten minutes to fix. If you do file one, we will send the carrier record and our correspondence to your bank and let them decide.

Delivery, title and risk

In plain EnglishThe goods become yours once you have paid. Until the parcel is delivered it is at our risk, retail or trade, and a parcel that goes missing is our problem to chase.

Title to the goods stays with us until we have received payment in full. Once payment clears, they are yours.

Risk of loss and damage passes to you when the parcel is delivered to the address you gave us. That is the rule for every order, one pair or a hundred. Until then a parcel that is lost or smashed in transit is ours to sort out.

If a parcel arrives damaged or does not arrive at all, tell us inside the reporting windows at /legal/shipping-returns and keep the packaging. We chase the carrier and you get a replacement or a refund, your choice. Sitting on hold to a carrier is our job, not something we hand back to the person who already paid.

Stock colorways leave the bench within 24 hours, Tuesday through Saturday. Custom label runs ship in about three weeks. Those are our working times rather than a contractual delivery date — once the label prints, the carrier controls the calendar.

If we cannot ship within 30 days of taking your money, we tell you before those 30 days are up, give you a revised date, and let you cancel for a full refund. That commitment is written out at /legal/shipping-returns and we apply it to every order, wherever you live.

Product information and color

Photographs on this site are indicative. Dye lots vary batch to batch, and screens differ — the orange you see on a phone at night is not the orange that arrives in the post. If exact color matters for a team kit or a shop wall, ask for a sample before you commit to a run.

Every strap is cut, sewn and bar-tacked by hand on Ruth, a 1978 bar-tack machine. Small variations come with that: a stitch line a millimeter off, a difference in webbing texture between lots, a bar-tack that sits a hair proud. Those are not defects.

A strap is defective when it fails to hold or the hardware breaks. Faded dye, furred edges and scuffs are honest wear, not failure.

Lengths, hardware and specifications can change as we improve a pattern. We will not quietly substitute one product for another on an order you have placed. If something changes between quote and build, we tell you, and you can take it or cancel.

Fit and safety

In plain EnglishFoot retention changes how a bike behaves and riding is on you. The safety page is part of this contract.

Foot retention changes how a bike handles, and cycling carries inherent risk. Fit straps correctly, check hardware before you ride, practice getting out of them somewhere quiet, and ride within your skill.

By buying and using a strap you accept that risk. We make the hardware. We cannot fit it to your shoe, check your bolts, or ride your line.

Our straps are made for platform bicycle pedals and nothing else. They are not a clipless system, they are not rated for motor vehicles of any kind, and they are not load-rated hardware for anything other than a foot on a pedal. Do not use them for lifting, towing, tie-down, load restraint, climbing or rescue. They are not tested for any of that, and a failure there could hurt someone badly.

If you fit straps for a customer, a team or a fleet, you are responsible for that fit and for telling the rider how to get out of them. The full detail is at /legal/safety and forms part of these terms.

Guarantee and warranties

In plain EnglishThe lifetime restitch guarantee is the warranty you get. Past it, we disclaim what the law allows us to disclaim, and your statutory rights as a consumer are untouched.

The limited lifetime restitch guarantee is set out in full at /legal/guarantee and is incorporated into these terms. In short: if a strap fails to hold in normal riding, we restitch or replace it. No time limit and no receipt needed. The guarantee follows the strap, not the buyer, so a second owner is covered.

That guarantee covers what we sew: GH-1, GH-2, Track Lite, Courier and the custom runs built on those patterns. It does not cover platform pedals, wax, shims, tensioners or the cog, because we do not sew them. Those are covered here instead. If one arrives faulty, or fails early in normal use, email us and we will repair it, replace it or refund it.

Unused straps can go back within 30 days for an exchange or a refund of the product price. That is the fit swap, and it sits at /legal/shipping-returns.

If you are a consumer in the EU or the UK you also have 14 days from delivery to withdraw from a distance sale, without giving a reason. That right sits on top of the fit swap rather than replacing it, and how to use it is at /legal/shipping-returns.

Beyond that guarantee, and to the fullest extent the law allows, we disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that a product suits a particular bike, shoe, discipline or riding style.

That disclaimer has limits, and we are not trying to stretch it. Nothing in these terms affects your statutory rights as a consumer. Some US states and some countries do not allow the exclusion of implied warranties, or limits on how long an implied warranty lasts, so parts of this clause may not apply to you. Where a part does not apply, the rest of these terms still stands.

11.0
Limits of liability

In plain EnglishIf a product goes wrong, what you can get is a repair, a replacement or your money back for that product. We do not cover knock-on losses, and there are things the law does not let anyone limit.

To the extent the law allows, our responsibility for a problem with a product is limited to repairing it, replacing it, or refunding what you paid for it. Which of the three is our call, made in good faith. In practice it is usually a restitch.

To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages. That includes lost profit, lost revenue, lost data, missed races, missed shifts, hire costs, and damage to a bike or other property arising from a product failure.

Our total liability for any claim connected with a product is capped at the amount you paid us for the product that gave rise to the claim. Where the guarantee covers someone who never bought from us, read that cap as the current list price of the closest equivalent product we sell. Where the guarantee at /legal/guarantee gives you more than this cap — a replacement, or a refund at current list price when your colorway is gone — the guarantee wins for a strap it covers, and clause 12.0 of that document says so too. For a claim connected with the website rather than a purchase, our total liability is capped at $100 USD.

Nothing here limits liability we are not allowed to limit. That carve-out includes:

  • Death or personal injury caused by our negligence.
  • Fraud or fraudulent misrepresentation.
  • Liability under product liability law that cannot be excluded.
  • Your statutory rights as a consumer.
  • Anything else the law of your state or country says cannot be excluded or limited.

Some states and some countries do not allow the exclusion or limitation of incidental or consequential damages, so this clause may not apply to you in full.

12.0
Indemnity

In plain EnglishIf someone brings a claim against us because of how you used a strap or because you broke these terms, you cover it — and we have to tell you promptly and let you take over the defense. It is written for shops, teams and fleets.

You agree to cover our reasonable costs, losses and legal fees arising from a third-party claim caused by your misuse of a product, your use of a product outside its intended purpose, or your breach of these terms.

This is deliberately narrow. It does not cover a claim caused by our own negligence, our own breach, or a defect in something we made.

If such a claim arrives, we will tell you promptly, we will not settle it without your agreement, and you may take over the defense with counsel of your choosing. We will cooperate with that defense at your cost.

This clause is aimed at trade buyers. If you are a consumer, it applies only as far as the law where you live allows, and in several places that is not far at all.

Site use and intellectual property

The GEARHOLD name and mark, the product names, the photographs, the illustrations, the written copy and the design of this site are ours.

You get a limited, personal, non-exclusive, revocable license to view and use the site, and to print or save pages for your own reference or to evaluate a purchase. A stockist may share our product photographs and copy with a customer while selling our product.

What that license does not allow:

  • Scraping, harvesting or bulk-copying the catalogue, the pricing or the images, by hand or by script.
  • Reselling our products as your own, or selling a product as Gearhold made when it is not.
  • Using the GEARHOLD name, mark or photographs in your own advertising without our written permission.
  • Presenting yourself as an authorized dealer, distributor or partner when no such agreement exists.
  • Interfering with the site: probing it, overloading it, injecting code, or trying to break it.
  • Reproducing the site design, the layout or the copy as your own work.

If you want to use a photograph or the mark for something legitimate — a shop window, a race program, a review — ask. The answer is usually yes and it costs nothing.

14.0
The site as it is

The site is provided as it is. We write it carefully and we keep it current, but we do not promise it is free of errors or that it will be available without interruption.

We may change, move or take down pages, products and prices at any time. A product shown here is not a promise that it is in stock.

Prices and specifications can be wrong. If an order is placed at an obviously wrong price — a decimal in the wrong place, a $52 USD strap listed at $5.20 USD — we may cancel the order and refund you in full rather than fill it. We will tell you first and give you the chance to buy at the correct price.

This site runs no analytics and no advertising trackers. What it loads from anyone else is three webfonts, a consent manager that remembers your cookie choice, and an optional chat widget that stays blocked until you opt in to it — what all of that means for your IP address is set out at /legal/privacy and /legal/cookies.

15.0
When things stop the bench

Some things stop a one-bench workshop cold. If we cannot fill an order because of an event outside our reasonable control, we are not in breach of these terms. You are not stuck either.

  • Webbing, thread, dye or hardware our suppliers cannot deliver.
  • Ruth going down, or another machine or tool failing.
  • Carrier interruptions, strikes, customs holds and port delays.
  • Weather bad enough to close the road or the carrier network.
  • Illness in the workshop — with one bench, there is no second line to pick up the work.
  • Fire, flood, power loss or theft at the workshop.
  • Government action, sanctions, import restrictions and changes to customs rules.

If one of these delays your order, we tell you what happened and give you a new date. If that date is later than you can wait, cancel and we refund in full. If it drags on past 30 days with no end in sight, either of us can cancel and we refund everything paid.

16.0
If we disagree

In plain EnglishCall us first, then give it 30 days in writing, then the Georgia courts. There is no arbitration clause and no class-action waiver in these terms.

If we ever disagree, let’s start with a phone call. +1 (762) 760-1179, Tue–Sat 10–18 ET. Most problems turn out to be a wrong length or a misread email, and both are ten minutes of work.

If a call does not settle it, put it in writing to the address in clause 17.0. From the day we receive it, both of us have 30 days to work it out in good faith before either of us starts a formal claim.

If it is still unresolved, the courts of the State of Georgia, USA have jurisdiction. These terms are governed by the law of the State of Georgia and applicable US federal law, without regard to conflict-of-laws rules. Georgia law applies because the workshop that takes and ships the order is in Georgia. Gearhold LLC is formed in Wyoming; that is not the same fact as the bench address or as the governing law of these terms.

There is no arbitration clause in these terms and no class-action waiver. We are not asking you to give up the right to a court, and we are not asking you to give up the right to join a claim with other people who have the same complaint.

If you are a consumer, nothing here removes your right to bring a claim in the courts where you live, where the law gives you that right, or to rely on the consumer protection law of that place. Small claims court stays open to both of us, and for most of what we sell it is the sensible room to be in.

The UN Convention on Contracts for the International Sale of Goods does not apply to these terms.

Notices

Formal notice to us goes by post to Gearhold LLC, 104 S Cherry St, Tunnel Hill, GA 30755, USA. Send a copy the same day to hello@fixedgearstraps.com so we see it before the post arrives. The posted copy is the notice; the email is a courtesy.

We give you notice at the email address on your order, or by post to the address we shipped to. Keep them current — a notice sent to an address you gave us counts as delivered.

Notice sent by post counts as given five business days after posting. Notice sent by email counts as given the day it is sent, unless it bounces back.

A voicemail is not formal notice. It is still a good way to start.

General terms

Changes. We may change these terms. The version on this page is the current one and the effective date is at the top. Changes are not retrospective: an order already placed keeps the terms that applied when it was placed.

Severability. If a clause turns out to be unenforceable, it is trimmed by the smallest amount that makes it work, or removed. Everything else stands.

Waiver. If we do not enforce something straight away, we have not given it up.

Assignment. We may transfer these terms and any order under them if the business is sold or restructured, and your rights, including the guarantee, transfer with it. You may not transfer your side without our written consent. The one exception is the guarantee, which follows the strap to a second owner without anyone asking us. If we ever stop trading rather than sell, the guarantee stops with us — that is said plainly at /legal/guarantee and we are not going to soften it here.

Entire agreement. These terms, the pages they incorporate — /legal/guarantee, /legal/shipping-returns and /legal/safety — and any written quote are the whole agreement for a sale. Where a written quote and these terms conflict, the quote wins for that order.

Headings. Headings and section numbers help you find things. They do not change what a clause means.

No partnership or agency. Nothing here makes either of us the other’s agent, partner, employee or franchisee. Buying at wholesale does not make you an authorized dealer unless we have agreed that in writing.

Third parties. Nobody outside this agreement can enforce it, with one exception: a second owner of a strap may enforce the guarantee.

Electronic communication. You agree that we can do business by email — quotes, totals, order confirmations, notices — and that an email from us counts as writing. If you would rather have paper, say so and we will post it.

19.0
What survives

When a sale ends, is canceled or is refunded, some clauses keep working:

  • The guarantee, for as long as the strap exists (10.0).
  • Money still owed in either direction, including a reversed payment (5.0 and 6.0).
  • The disclaimer of other warranties and the limits of liability (10.0 and 11.0).
  • Indemnity (12.0).
  • Intellectual property and the site-use restrictions (13.0).
  • Dispute resolution, governing law and notices (16.0 and 17.0).
  • Anything else that by its nature should outlast the sale.
